Terms of Service

Last updated: October 2026

About These Terms

These Terms of Service apply to your use of the Krishidnya Technologies website and to the general relationship between you and Krishidnya Technologies, part of Krishidnya Innovations, headquartered in Pune, India. By visiting our website or submitting an enquiry, you agree to these terms.

When we enter into a specific project engagement with you, that project will be governed by a separate written agreement, statement of work, or contract signed by both parties. In the event of any conflict between these Terms of Service and a specific project contract, the project contract takes precedence.

Services We Provide

Krishidnya Technologies provides custom software development services, including but not limited to:

  • Website design and development
  • Web application development
  • Software as a Service (SaaS) product development
  • Mobile application development
  • Technical consulting and software architecture

All services are delivered according to the scope and timeline agreed upon in the relevant project contract. We reserve the right to decline or discontinue any project or enquiry at our discretion, subject to obligations already established in a signed agreement.

Project Agreements

Each project is governed by a separate contract, proposal, or statement of work that outlines the deliverables, timeline, payment milestones, and any specific terms applicable to that engagement. These Terms of Service form a baseline that applies unless a project contract explicitly states otherwise.

Work on a project begins only after a written agreement has been signed and the applicable initial payment has been received, as specified in the project contract. Verbal agreements or informal communications do not create binding obligations on either party.

Intellectual Property and Ownership

Upon receipt of full and final payment for a project, the client receives full ownership of the custom deliverables created specifically for that project. This includes source code, design assets, and documentation that were produced as part of the agreed scope of work.

The following are not transferred and remain the property of Krishidnya Technologies:

  • Internal tools, frameworks, libraries, or reusable components that were developed independently of the project and used within the deliverables
  • Our methodologies, processes, and general know-how

Where reusable internal components are included in your deliverables, we grant you a perpetual, royalty-free licence to use them as part of the delivered project. Third-party software, open-source libraries, and other external tools integrated into your project are subject to their own respective licences.

If a project is terminated before full payment is received, ownership of the deliverables produced up to that point remains with Krishidnya Technologies until the outstanding balance is settled.

Confidentiality

Both parties agree to treat as confidential any non-public information shared during the course of an engagement. This includes business plans, technical specifications, product roadmaps, pricing, client lists, and any other information reasonably understood to be proprietary.

We will not disclose your confidential information to any third party without your prior written consent, except where required by law or to subcontractors who are bound by equivalent confidentiality obligations and whose involvement is necessary to deliver your project.

Confidentiality obligations survive the termination or completion of any project engagement and remain in effect for a period of three years thereafter, unless a specific project contract specifies a different duration.

Payment

Payment terms, amounts, and milestones are specified in each project contract. Invoices are due within the timeframe stated on the invoice. Late payments may result in a suspension of work until the outstanding balance is cleared. We reserve the right to charge interest on overdue amounts at a rate specified in the project contract.

All fees are exclusive of applicable taxes unless stated otherwise. Where GST or other taxes apply, they will be shown separately on invoices.

Limitation of Liability

To the maximum extent permitted by applicable law, our total liability to you arising from or related to any project or engagement shall not exceed the total fees paid by you to us for that specific project.

We shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of revenue, loss of data, loss of business opportunity, or reputational harm, even if we have been advised of the possibility of such damages.

We are not responsible for the performance, availability, security, or behaviour of any third-party services, APIs, hosting platforms, payment gateways, or other external systems that may be integrated into your project. We will make reasonable efforts to identify and communicate risks related to third-party dependencies, but we cannot be held liable for failures or changes in those systems.

No Warranty for Third-Party Services

Our work may incorporate or depend on third-party services, software libraries, cloud infrastructure, or platforms. We do not provide any warranty, express or implied, with respect to such third-party services. Their terms, pricing, availability, and functionality may change independently of our work, and you are responsible for reviewing and accepting their terms of service.

Where possible, we will recommend established and reliable third-party services and document any significant dependencies in your project deliverables.

Client Responsibilities

A successful project depends on collaboration. You agree to provide timely and accurate information, feedback, and approvals as required during the project. Delays caused by a lack of client input may affect the agreed timeline and may result in adjustments to project costs. You are also responsible for ensuring that any content, data, or materials you provide to us do not infringe on the rights of any third party.

Governing Law and Disputes

These Terms of Service and any disputes arising from them are governed by the laws of India. The courts of Pune, Maharashtra, India shall have exclusive jurisdiction over any disputes that cannot be resolved through good-faith negotiation between the parties.

Before initiating any legal proceedings, both parties agree to make a genuine effort to resolve the dispute amicably within 30 days of notifying the other party of the issue.

Changes to These Terms

We may revise these Terms of Service from time to time. The updated version will be posted on this page with a revised date. These terms apply to your use of the website and to any engagement that has not yet been formalised through a signed project contract. Once a project contract is signed, the terms in that contract govern the specific engagement.
